According to Florida Statute § 723.075, an association's representative power is contingent upon securing the written consent of a 51% majority of homeowners. Siri Properties contends that without this verified mandate, any legal agreements or changes to a community's Prospectus arising from unauthorized representation are "facially voidable," which could create a "cloud on the title" for residents' leasehold interests.

The challenge also highlights a regulatory gap: organizations identifying as "social clubs" in federal IRS filings while claiming fiduciary status in Florida state petitions.
